STEP 1 : LAW AND SECRETARIAL SERVICES :
As we have reviewed / discussed with the management the status of your Firms / Liaison Office / Local office / Branch office / Company and we notice that the following works is essential to do immediately & subsequently : -
| a. |
To Comply with Register of Joint Stock Company (RJC) related all short return submission, filing of documentation and in this regard to keep and maintained all sort of Share Register, Board meeting register, Minutes book register etc. |
| b. |
Comply the Board of Investment (BOI) related queries and condition and submit the quarterly report with in 03 (months) form the date of registration with BOI and renewed and extension as and when required. |
| c. |
Counseling Employer / Employees Visa recommendation, permission, extension, Work permit, Security Clearance, NSI report, SB Report and Foreign Ministry related function which is related with company and employer etc. |
| d. |
Obtaining Central Bank/Bangladesh Bank 18A and 18B permission and subsequently submit the quarterly report with in 03 (months) form the date of registration with Bangladesh Bank / Central Bank. |
| e. |
Obtaining Trade License from the City Corporation / Local authority and subsequently renewed each and every year. |
| f. |
f) Preparation Quarterly, half-yearly and yearly financial statement and submit to respective authority and obtaining necessary, receipt, certificate or certified copy. |
| g. |
To do auditing at the end of the year ended and give advise regarding this purposes. |
| h. |
Assist to establish all sorts of Company Secretarial and office Secretarial papers and procedure. |
| i. |
Any sort of Advance Income tax (AIT), Value added tax (VAT) is required to deposit to Government custody we will do necessary step for that reason. |
| j. |
Except the above mentioned formality and responsibility if any other registration / certification is needful to do for the better management we will provided all sort of support to you as per pre - discussion / instruction of Management. |

STEP 02 : TAXATION SERVICES : -
We observed that the following Income Taxation matters are required to be settled immediately and subsequently :

Tax file to be opened and obtaining TIN, TC certificate form the authority. |
| b. |
Subsequently submit the quarterly report and annual return to the authority |
| c. |
Each and every year Submission of Annual Tax return to tax authority. |
| d. |
Preparation of books of accounts and Submission of Audited Report /accounts for the same year. |
| e. |
Completion of Income Tax hearing and assessment of the same year. |
| f. |
Obtaining Tax clearance certificate & any other certificate & certified copy as per Management requirement. |
| g. |
Settle tax matter with high Official of the company in case of Appeal, Tribunal. |

STEP 03 : AUDITED OF ACCOUNTS : -
Our function as auditors governed by the Companies Act, 1994 is to examine the financial Statements presented to us by the management in accordance with the International Standard of Auditing (IAS) as adopted by the Institute of Chartered Accountants of Bangladesh.
We shall conduct the said audit for the year ended 30 June each Year/ year ended 31st December, unless other wise any interim audit Report required by any authority in Bangladesh.
We shall also provide Accounting Services to your Company as required by you will include the followings :

Review and taking necessary steps for conduction of details checking and verification of all papers and document relating to the received and operational expenses incurred during each financial year. |
| ii. |
Review and taking necessary steps to ensuring to maintain accounting records as per International Accounting Standards. (IAS) |
| iii. |
Follow up & checking detailed list of account balances |
| iv. |
Checking the complete posting of all Financial Transition |
| v. |
Giving necessary guidelines for irregularities ( if any) found during the audit |

| WORK SCHEDULE |
We will perform the assignment through constitution 1 (one) team for each Step. They will works under direct supervision of the firm. M/S. Mohammed Gias Uddin & Co. will supervise time to time the team and will follow up the progress of the assignment and discuss on important matters with concerned officials of the company.
Assignment are as follows :

PERIOD EFFECTIVE OF THE PROPOSAL : The said proposal for rendering Professional Services will remain until otherwise decides by the management of the board. |

| FINANCIAL OFFER |
FEES : Our professional fees will be charged on the basis of the men-days involvement and time requirement for completion of the work. The rates of the fees may be changed on the basis of job description alteration or addition.

Professional fees for the monthly basis Tk. 20,000.00 for each and every month (for each client) or |
| 02. |
Professional fees per day basis Tk. 800.00 for each and every day |

OTHER EXPENSES :
All Govt. charges or establishment fees regarding completion of the above assignment (s), as applicable, and otherwise expenses (if any), to get benefit in compliance with the Govt. Rules and as normal practice, should be paid by the Company at actual basis, details of expected expenditure will inform you before starting of an assignment. |

PAYMENTS SCHEDULE : Professional Fees shall be payable Monthly / Yearly / Weekly basis which one management choose from the above mentioned option. |
